Terms of Service - Coaching/Mentoring
Contract Term: 30 Days Rolling

1. The Services

a) CJPI provides mentoring/coaching services to the Client, on the terms set out here.

b) The services consist of video meetings and/or phone calls and/or email or other written communications between the CJPI and the Client from time to time, the exact content, frequency and duration of which will be as agreed between the CJPI and the Client.

c) The services commence upon receipt of the first month's invoice from CJPI. Once commenced, the services will be provided on a 30-day rolling basis providing that the Client continues to pay the CJPIs monthly invoices as they fall due.

 

2. Liability

a) The Client shall not at any time be obliged to act on any information, suggestion, advice or guidance given by CJPI as part of the services, but if and to the extent that it does so, it shall do so at its own risk. The Client hereby unconditionally and irrevocably waives any rights of action it may have against the CJPI in relation to any such information, suggestions, advice or guidance.

b) The Client is advised to take independent financial, legal or other appropriate professional advice before acting on any information, suggestion, advice or guidance given by the CJPI.

c) The Client acknowledges that any services provided by the CJPI pursuant to these terms are provided on a commercial basis, in good faith and do not constitute legal, financial or other regulated advice.

d) CJPI shall not be liable to the Client or to any third party for any loss, damage, costs or liabilities suffered as a result of the services, or for any acts or omissions of the CJPI. Nothing in this clause shall limit or exclude any liability for death or personal injury, or which results from fraud.

 

3. Term

a) The services will commence in accordance with 1(c) of these terms and will continue subject to the Client continuing to pay the CJPIs invoices as they fall due, on a 30-day rolling basis, until terminated by either party by written notice.

b) On receipt of such notice, which can be given by either party at any time, the termination will be effective at the end of the period to which the most recent payment by the Client to the CJPI relates. No refunds would be due to the Client in respect of any payments already made, in the event of termination however so arising.

 

4. Confidentiality

All parties will keep in strict confidence all and any information of a confidential nature that it obtains about either of the other parties as a result of the arrangements contemplated by these terms. This clause shall not apply in relation to any information that is already available in the public domain other than as a result of a breach of this clause by any party.

 

5. Miscellaneous

a) Nothing in these terms is intended to or shall be deemed to, constitute a partnership or joint venture of any kind between any of the parties, nor constitute any party the agent of another party for any purpose.

b) A person who is not a party to the services shall not have any rights under or in connection with it.

c) These terms shall be governed by, and construed in accordance with, English law, and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
